Affiliate Programme Terms and Conditions
These Affiliate Programme Terms and Conditions (Terms) govern participation in the affiliate programme operated by Two Pandas FZ LLE under the Two Pandas brand (Two Pandas, we, us, or our) in connection with https://twopandas.ae (Programme). They apply to each individual or legal entity whose application we approve (Affiliate, you, or your).
By submitting an application, clicking to accept these Terms, accessing the affiliate dashboard, using an affiliate link or code, or otherwise participating in the Programme, you agree to these Terms. If you participate for an organisation, you confirm that you are authorised to bind it. If you do not agree, do not apply for or participate in the Programme.
These Terms supplement our Terms of Service, Privacy Policy, Returns & Refunds Policy, Shipping Policy, and any programme details displayed in your affiliate dashboard (Dashboard). Customers who buy from twopandas.ae remain subject to the customer-facing policies published on our website.
Definitions
- Affiliate Code: a discount or referral code assigned to you by Two Pandas.
- Affiliate Link: a tracking link generated or approved for your use in the Programme.
- Approved Commission: a commission that has completed our validation process and is marked approved in the Dashboard.
- Net Product Revenue: the product price actually paid after discounts, excluding VAT or other taxes, shipping or delivery charges, duties, gift-card value, credits, refunds, chargebacks, and other non-product amounts.
- Qualifying Order: an eligible order placed on twopandas.ae that is tracked to you, successfully paid, accepted and completed, and not excluded, cancelled, refunded, charged back, or reversed under these Terms.
Eligibility, Application, and Approval
You must be at least 18 years old, have legal capacity to enter into these Terms, and provide complete, accurate, and current application, identity, contact, payment, and tax information. You must promptly update any information that changes.
We may approve, reject, suspend, or require further information about any application or account at our discretion. Approval does not oblige us to accept any other application, guarantee any period of participation, or guarantee sales, commissions, or earnings. You may operate only one account unless we approve otherwise in writing.
Programme Details and Dashboard
Your Dashboard may show your commission rate, Affiliate Link, Affiliate Code, cookie or attribution window, eligible products or customers, exclusions, currency, validation status, payout schedule, minimum payout threshold, marketing materials, and other Programme settings. Those settings form part of the commercial terms of your participation.
A specific written offer from Two Pandas controls only the commercial detail that it expressly changes. These Terms continue to govern conduct, compliance, intellectual property, liability, and all other matters.
Affiliate Links, Codes, and Attribution
Use only Affiliate Links and Affiliate Codes assigned to you or expressly approved by us. You may create a product- or collection-specific Affiliate Link through the approved tool where that function is available. Do not publish, distribute, or claim credit for any code that has not been assigned to you.
Attribution is determined by the records and rules of our affiliate platform. Unless the Dashboard states otherwise, the most recent valid affiliate interaction before checkout normally receives credit. A customer who uses an Affiliate Link and an Affiliate Code does not create two commissions, and only one affiliate may receive commission for an order.
Tracking may depend on cookies, consent choices, browser settings, device settings, app or platform limits, and the customer completing the purchase on an eligible device or session. If tracking is blocked, deleted, or unavailable, we are not required to create a manual commission unless our records show a manifest tracking error.
Commission applies only to eligible purchases completed directly on twopandas.ae unless we expressly state otherwise. Purchases through Amazon, Noon, other marketplaces, retailers, resellers, or offline channels are not eligible.
Commission Calculation
The commission rate and any product, customer, geographic, order-value, or promotional conditions are shown in the Dashboard or a specific written offer. Unless expressly stated otherwise, commission is calculated on Net Product Revenue, not the full checkout total.
Commission shown as pending is provisional. An order becomes eligible for payment only after it passes our validation process and is marked as an Approved Commission. Repeat orders are eligible only where the current Dashboard settings expressly attribute them within the applicable tracking window.
Invalid Orders, Reversals, and Set-Off
We may reject, cancel, reduce, or reverse commission where an order or referral is cancelled, unpaid, partially or fully refunded, charged back, duplicated, fraudulent, a test transaction, generated through prohibited conduct, linked to inaccurate information, or otherwise not a Qualifying Order. A partial refund or credit may produce a proportionate commission reduction.
Self-referrals and orders placed by you, for you, on your behalf, or mainly to obtain a discount or commission are not eligible unless we approved the arrangement in writing before the order. We may offset a reversal, overpayment, bank fee, withholding amount, or other sum you owe us against current or future commissions.
You must raise any good-faith commission query through the website contact form within 30 days after the relevant entry first appears in the Dashboard. Please identify the order or transaction and explain the alleged error. Our platform records will apply unless you show a manifest error.
Payments, Tax Information, and Charges
To receive payment, you must provide and maintain valid payment details and any identity, invoice, residency, tax, or compliance information we reasonably request. A bank transfer will be initiated in the next applicable payout cycle shown in the Dashboard only when the total unpaid Approved Commissions due to you exceeds AED 100. If the total is AED 100 or less, it will be carried forward to a later payout cycle until the threshold is exceeded. We may delay payment for a reasonable validation, fraud, chargeback, sanctions, regulatory, or payment-provider review.
You are responsible for your own taxes, registrations, filings, invoices, social contributions, bank charges, and currency-conversion costs arising from Programme income. We may deduct or withhold tax or another amount where required by law and may provide related information to a competent authority. Payment to the valid account details recorded in your Dashboard satisfies our payment obligation for that amount.
Advertising, Disclosure, and Content Standards
Every promotion must be accurate, current, lawful, and consistent with the product information and policies published by Two Pandas. You must clearly and prominently disclose your commercial relationship with Two Pandas and that you may earn commission. The disclosure must be easy to notice, in the same language as the advertisement, and placed with the promotional content before or close to the Affiliate Link, Affiliate Code, endorsement, or product claim.
- Use clear wording such as 'advertisement', 'ad', or 'affiliate link' where appropriate for the platform and audience.
- Display any advertiser permit or licence number and other regulatory disclosure where applicable.
- Use only prices, offers, discount levels, stock statements, and delivery promises that are currently authorised and verifiable.
- Do not make medical, health, safety, performance, environmental, comparative, or other claims that we have not approved in writing.
- Do not present yourself as Two Pandas, an employee, an authorised spokesperson, an exclusive partner, or a customer-service channel.
- Respect intellectual property, privacy, publicity, platform, advertising, competition, consumer-protection, and media-content rules.
Prohibited Promotion Methods
Unless we expressly approve in writing, you must not use or enable any of the following:
- Paid search or social advertising that bids on, targets, or uses 'Two Pandas', our product names, trade marks, domain names, or confusingly similar words or misspellings as keywords, ad copy, display names, or account identifiers.
- Domain names, subdomains, apps, profiles, pages, groups, or handles that impersonate Two Pandas or imply they are official.
- Cookie stuffing, forced clicks, hidden links, automatic redirects, adware, spyware, toolbars, browser extensions, bots, fake traffic, click farms, lead laundering, or any mechanism that interferes with genuine customer choice or attribution.
- Cashback, loyalty points, prizes, paid-to-click activity, undisclosed incentives, coupon scraping, coupon leakage, or promotion on coupon or deal sites unless that channel and incentive have been approved in writing.
- Spam, unsolicited bulk messages, misleading subject lines, purchased contact lists, harassment, or marketing that lacks any required consent.
- False reviews, fabricated testimonials, fake engagement, altered evidence, misleading comparisons, or concealment of material terms.
- Content or placement that is unlawful, defamatory, discriminatory, sexually explicit, violent, hateful, unsafe, deceptive, infringing, or reasonably likely to damage the Two Pandas brand.
- Self-referrals, collusion, duplicate accounts, order splitting, identity manipulation, or any attempt to manufacture commission.
Brand Assets and Intellectual Property
While your account remains active and compliant, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to use the approved Two Pandas names, logos, product images, banners, copy, and other marketing materials made available through the Programme solely to promote eligible Two Pandas products under these Terms.
You must follow our brand instructions, keep required notices intact, and not materially edit an asset without written approval. You acquire no ownership in Two Pandas intellectual property. You must not register, challenge, copy, sell, license, or create confusingly similar branding, domains, handles, trade marks, packaging, or creative assets. The licence ends immediately when your participation ends, and you must promptly remove the materials.
Customer Orders and Customer Service
Two Pandas controls product descriptions, prices, stock, promotions, order acceptance, payment, delivery, returns, refunds, replacements, and customer service. We may accept, reject, or cancel orders under our Terms of Service and operational policies. You may not accept orders or payments for us, vary our customer terms, promise stock or delivery, issue refunds, make warranties, or otherwise bind Two Pandas.
Refer order, product, delivery, or refund questions to the contact route published on twopandas.ae. Do not request or retain customer payment-card details or other information that customers should provide directly to Two Pandas or its approved providers.
Licences, Permits, and Local-Law Compliance
You are responsible for determining and maintaining every licence, permit, registration, approval, disclosure, and professional or tax status required for your activities, location, content, platform, and target audience. This includes any advertiser or electronic-media authorisation required when promotional content, affiliate links, or promo codes are directed to audiences in your jurisdiction, whether the promotion is paid or unpaid.
You must use only accounts and channels that may lawfully publish the promotion, display permit details where required, and stop any promotion if a regulator, platform, or Two Pandas identifies a compliance concern. Our approval of an application, asset, or campaign does not confirm that your activities satisfy your own legal obligations.
Data Protection, Privacy, and Cookies
Two Pandas processes affiliate account, payment, compliance, and Programme information for administration, fraud prevention, payment, recordkeeping, and legal purposes in accordance with applicable law and our Privacy Policy. Affiliate tracking may use cookies or similar technology, and customer choices may prevent or limit attribution.
You must not collect, buy, scrape, combine, disclose, or send us personal data for the Programme unless it is lawful, necessary, secure, and expressly authorised. If you independently collect personal data through your own channel, you are responsible for your own privacy notice, lawful basis or consent, security, retention, data-subject rights, international transfers, and vendor compliance. Do not send passwords, payment-card data, or unnecessary customer information through the contact form or another unsecured route.
Monitoring, Records, and Takedown
We may review public promotions, traffic sources, referral patterns, code use, orders, accounts, disclosures, and compliance. You must keep reasonable records supporting your licences, disclosures, traffic sources, and claims and provide relevant evidence on reasonable request, subject to applicable privacy law.
You must correct or remove content, links, codes, brand assets, or campaigns promptly when we request it and, in any event, within 24 hours unless we require immediate removal for a legal, safety, fraud, security, or brand-protection reason. Monitoring does not make us responsible for your content or conduct.
Affiliate Network and Sub-Affiliates
If the Network feature is activated in your Dashboard, you may invite another person to apply using the assigned network link. That person becomes an affiliate only if we approve the application and the person accepts the applicable terms. You may receive a network commission only where the Dashboard expressly shows that arrangement and the underlying referral is valid.
You must not promise approval, earnings, employment, exclusivity, or a particular commission rate to a prospective affiliate. You remain responsible for the lawfulness of your invitation and any statements you make, but you do not control or bind an approved affiliate unless a separate written agreement states otherwise.
Independent Relationship
You participate as an independent contractor. Nothing in these Terms creates employment, worker status, partnership, joint venture, franchise, fiduciary duty, commercial agency, distributor relationship, or authority to act for or bind Two Pandas. You control how, when, and where you create lawful promotional content, subject to these Terms, and you bear your own expenses and risks.
You may not sign a contract, make a commitment, incur a liability, collect money, negotiate customer terms, appoint another person, or make a representation on behalf of Two Pandas.
Confidentiality
You must protect non-public information received through the Programme, including unreleased products, private commission arrangements, security information, customer or order information, campaign plans, and information identified or reasonably understood as confidential. Use it only for the Programme and disclose it only to a person who needs it and is bound by equivalent confidentiality duties.
This duty does not apply to information you can show was lawfully public without breach, already lawfully known to you, independently developed without the confidential information, or lawfully received without restriction. A disclosure required by law is permitted only to the required extent and, where lawful, after prompt notice to us. On request or termination, delete or return confidential information unless retention is legally required.
Suspension and Termination
You may leave the Programme at any time by using an available account option or the website contact form. We may suspend or terminate your account or the Programme at any time. We may act immediately where we reasonably suspect fraud, prohibited promotion, unlawful conduct, inaccurate information, brand harm, security risk, sanctions exposure, material breach, repeated minor breach, or failure to provide requested compliance information.
On suspension or termination, you must immediately stop presenting yourself as an Affiliate and stop using Affiliate Links, Affiliate Codes, confidential information, and Two Pandas brand assets. Eligible commissions generated before termination remain subject to normal validation, reversal, set-off, and payment rules. We may reject commission generated by or connected with fraud, breach, prohibited conduct, or an invalid order, and may hold unresolved amounts for a reasonable investigation or chargeback period.
Programme and Commercial Changes
We may change or discontinue the Programme, commission rates, eligible products, tracking window, attribution rules, network settings, payment method, threshold, schedule, tools, or promotional conditions. Commercial changes apply prospectively from the effective date shown in the Dashboard, email, or other Programme notice, except that we may act immediately where reasonably necessary for legal, regulatory, fraud, security, platform, pricing-error, or abuse reasons.
If you do not accept a change, your remedy is to stop participating before it takes effect. Continued participation after the effective date constitutes acceptance of the updated Programme terms.
Programme Availability and Disclaimers
The Programme, Dashboard, tracking, links, codes, reports, and marketing materials are provided on an as-available basis. To the fullest extent permitted by law, we do not guarantee uninterrupted operation, error-free tracking, any placement or exposure, a minimum term, customer conversion, sales volume, commission, income, or fitness for your particular purpose.
Reports may be delayed or corrected, and third-party platforms, browsers, consent settings, payment providers, fulfilment providers, and events outside our reasonable control may affect tracking, orders, or payments.
Limitation of Liability
To the fullest extent permitted by applicable law, Two Pandas is not responsible for indirect, incidental, special, punitive, or consequential loss; loss of profit, revenue, opportunity, goodwill, data, or anticipated savings; or loss caused by events outside our reasonable control.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Programme and these Terms will not exceed the commissions paid or payable to you for the six months immediately before the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or another liability that cannot legally be excluded or limited.
Indemnity
To the fullest extent permitted by law, you will indemnify and hold harmless Two Pandas FZ LLE and its officers, personnel, and service providers from third-party claims, losses, penalties, liabilities, and reasonable legal costs arising from your content, promotion, misrepresentation, unlawful conduct, breach of these Terms, infringement of rights, tax or permit failure, or misuse of personal data or Two Pandas materials. We will give reasonable notice of a claim and may control its defence and settlement; you must provide reasonable cooperation.
Governing Law and Jurisdiction
These Terms and any non-contractual obligation arising out of or in connection with them are governed by the laws of the DIFC.
The parties specifically, clearly, and expressly agree in writing to opt in to the exclusive jurisdiction of the Dubai International Financial Centre Courts (DIFC Courts) for any civil or commercial dispute arising out of or in connection with the Programme or these Terms, including their existence, validity, interpretation, performance, breach, or termination. A claim eligible for the DIFC Courts' Small Claims Tribunal (SCT) must be brought in the SCT; any other claim must be brought in the DIFC Courts' Court of First Instance.
Notices and Contact
We may give Programme notices through the Dashboard, the email address linked to your account, or another reasonable electronic method. You are responsible for keeping your contact details current and reviewing Programme notices.

General
These Terms, the commercial details in the Dashboard, any specific written affiliate offer, and the incorporated website policies form the entire agreement about the Programme and replace earlier affiliate terms, discussions, and representations. If there is a conflict, a specific written affiliate offer controls the commercial detail it expressly changes; the Dashboard controls current operational and commercial settings; these Terms control Affiliate conduct and legal matters; and the published customer policies control customer orders and website use.
You may not assign, transfer, delegate, subcontract, or sell your account or rights without our prior written approval. We may assign or transfer these Terms in connection with a business transfer, restructuring, financing, or sale. A delay or failure to enforce a right is not a waiver. If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the rest will continue. Headings are for convenience only.
Clauses that by their nature should continue after termination will survive, including payment adjustments, tax, intellectual property, confidentiality, data protection, liability, indemnity, governing law, and jurisdiction. No third party may enforce these Terms.
Changes to these Terms
We may update these Terms from time to time. Continued participation after the effective date constitutes acceptance of the updated Terms.
